MIRO LEGAL CENTER
Global B2B / Wholesale / OEM Terms
For businesses buying for resale, professional installation, commercial projects, private label, OEM or ODM use.
Version: 2026-09-12-v2 · Last updated: September 12, 2026Order documents and priority
A quotation, pro forma invoice, purchase-order acceptance or signed sales agreement identifies products, quantity, price, currency, payment, Incoterm, delivery, warranty and any special requirements. A signed negotiated agreement prevails over these website terms; the accepted quotation or pro forma invoice prevails over conflicting purchase-order boilerplate.
Website checkout, if enabled for a standard sample, remains subject to acceptance, stock, payment, export, destination and compliance review.
Specifications and buyer approvals
The buyer must confirm model, target gas, sensor, protocol, power, output, alarm threshold, certification, artwork, language, packaging and destination requirements. Samples, drawings, specifications and pre-production approvals form part of the agreed specification. Changes after approval may affect price and schedule.
The buyer is responsible for laws governing its import, resale, system design and installation unless the written agreement expressly allocates a task to MIRO. MIRO remains responsible for obligations that law places on the manufacturer and that cannot be transferred.
Prices, payment, tax and trade terms
Prices exclude taxes, duties, brokerage, bank charges and clearance costs unless the order document says otherwise. The buyer pays destination import duties, VAT and clearance charges. The quotation must state the applicable Incoterms® 2020 rule and named place; no trade term is implied by this website.
Deposits, milestone payments and cancellation charges are governed by the accepted order document. MIRO may suspend unshipped work for overdue undisputed amounts. Title and risk transfer as stated in the agreed trade term and applicable law.
Inspection, defects and returns
The buyer must inspect promptly and give detailed written notice of visible shortage, transit damage or non-conformity within the period stated in the order document, and notify latent defects promptly after discovery. Failure to notify does not waive a claim where waiver is prohibited or where the defect could not reasonably have been found.
Correctly supplied, non-defective goods are not returnable. Customized, branded, programmed, packaged-to-order or personalized goods are not returnable except for a verified defect or material non-conformity. No return may be shipped without written authorization.
Remedies and warranty
For a verified defect or non-conformity, MIRO may provide repair, replacement, replacement parts, rework, credit or refund for affected goods as stated in the order document and permitted by law. Model-specific warranty terms, exclusions and duration must be provided in the quotation or warranty document; this website does not create an unstated warranty period.
To the extent permitted by law, neither party is liable for indirect, incidental or consequential loss, loss of profit or loss of business. Any negotiated liability cap must appear in the accepted contract. No limitation applies to fraud, willful misconduct, personal injury or liability that cannot lawfully be limited.
OEM intellectual property and confidentiality
The buyer warrants that buyer-supplied names, logos, artwork, software and specifications may lawfully be used and will address third-party claims arising from those materials to the extent stated in the negotiated contract. Ownership and permitted use of tooling, firmware, drawings and newly developed materials must be stated in the project agreement.
Confidential information must be protected under any signed nondisclosure agreement. Website submissions should not include trade secrets until appropriate confidentiality terms are in place.
Force majeure and disputes
A party affected by an event beyond reasonable control must notify the other and take reasonable steps to reduce delay. Allocation of prolonged-delay and cancellation rights should be stated in the order contract.
Governing law, court jurisdiction or arbitration must be expressly agreed in the accepted B2B contract. The website alone does not impose a forum or arbitration clause. The UN Convention on Contracts for the International Sale of Goods applies or is excluded only as stated in that contract or mandatory conflict rules.
